TERMS AND CONDITIONS FOR USERS

These Terms and Conditions for Users (these “Terms and Conditions”) are made and entered into by and between CadTech Solutions Ltd. (“CTS”, “we”, “us”, or “our”), the owner of app.streetsmart242.com (the “StreetSmart App”), and any person (“User”, “you” or “your”) who accesses and uses the StreetSmart App by checking the “I agree” box, agrees to these Terms and Conditions.

Please read these Terms and Conditions, our Privacy Policy, and Cookies Policy, which may be found on the StreetSmart App, and which are incorporated by reference into these Terms and Conditions.

We reserve the right to update, change or replace any part of these Terms and Conditions and the amendments thereto shall take effect from their date of publication on the StreetSmart App.

If you do not agree with these Terms and Conditions and/or any changes made to these Terms and Conditions, you must stop using or accessing the StreetSmart App immediately. Your failure to abide by these Terms and Conditions or any other terms or conditions posted anywhere on the StreetSmart App may result in suspension or termination of your access to the StreetSmart App, without notice, in addition to CTS’s other remedies.

By visiting, accessing, and/or using the StreetSmart App, we understand that you have fully read, understood, and accepted to be bound by these Terms and Conditions, whether or not you are a registered user or customer of the StreetSmart App.

KEY TERMS

In these Terms and Conditions, (i) capitalized terms defined by inclusion in quotations and/or parenthesis have the meanings so ascribed; and (ii) the following terms have the meanings assigned to them herein below:

“Account” means the account that Users are required to create on the StreetSmart App to use the Services;

“Content” means any and all text, graphics, images, music, software, video, audio, information, and any other material, which is available on the StreetSmart App;

“Party” or “Parties” means CTS and the User referred to individually and collectively respectively;

“Services” means the services offered, advertised, and explained by CTS on the StreetSmart App, including but not limited to digital maps, tour booking, customized tours, group chats, etc.;

“StreetSmart App” means the mobile application of CTS; and

“User Content” means any content, written or otherwise, created, submitted, generated, featured, displayed through the StreetSmart App (including but not limited to, any User rating or review, User profile, text, correspondence, photographs, and videos) by the Users while using the StreetSmart App.

STREETSMART APP AND USE OF SERVICES

The StreetSmart App is not intended for Users that are under the age of eighteen (18). By accessing and/or using the StreetSmart App and/or Services, you represent and warrant that: (i) you are legally capable of accessing and/or using the StreetSmart App and/or Services; (ii) you are at least eighteen (18) years old (if you are an individual); and (iii) if you are using the StreetSmart App on behalf of a third party, you are authorized and have the authority to bind that third party to these Terms and Conditions. Any registration on, use of, or access to, the StreetSmart App by any person under eighteen (18) years of age is unauthorized, unlicensed and in violation of these Terms and Conditions.

We may also provide certain Services via our third-party partners, and you agree that your use of such third-party services is subject to the contractual (including payment) terms presented by such third parties should you wish to use their services. You further agree that CTS has no responsibility for such third-party services and your use of such services is entirely at your own risk.

ACCOUNT REGISTRATION

Users are required to create an Account by using their personal information, including but not limited to, first name, last name, mobile number, email address, and company name. Each Account should have a unique username and a password.

A User shall not create more than one Account, by providing a different mobile number and email address or by any other means.

If the User is a company, additional information and documents may be required to complete the Account registration which include, without limitation, a valid and current dated business/trade license, company address, details of the authorized person and tax registration number (if applicable).

Users may be required to verify their mobile number and email address by a one-time password (OTP) in order to register an Account.

Any information provided in relation to the Account registration process will be subject to the Privacy Policy of the StreetSmart App. The mobile numbers and email addresses provided will be used for the purpose of verification and may be used by CTS for marketing and communication purposes. CTS reserves the right to request additional information from a User (such as a valid ID copy) in order to verify the User’s identity and decline any Service if CTS believes such information to be fraudulent.

The use of a VPN, proxy, VoIP number or any other means of concealing the true location of the User will lead to delays, likely ID check. The mobile number that a User provides may be subject to geographic location checks in order to verify the authenticity of the User.

Each User is responsible for maintaining the security of their Account and for all activities that occur under the Account and any other actions taken in connection with the Account. You undertake to provide accurate and complete information and keep your Account information and your Account updated. You may not share your password with unaffiliated third parties. You agree to notify CTS immediately of any unauthorized use of Account, or any other breaches of security. You are fully responsible for all uses of your password, Account and username, or registration, whether by you or others. CTS is authorized to act on instructions received through use of your Account or registration and is not liable for any loss or damage arising from your failure to comply with this clause 3.7.

Your Account, including any information pertaining to it (e.g., contact information, billing information, Account history, etc.), is strictly personal to you. You may therefore not sell or charge others for the right to use your Account, or otherwise transfer your Account.

By creating an Account or using the Services, you consent to us contacting you about your interest in the StreetSmart App and/or the Services by email, mobile, or through any other contact information you have chosen to provide. Users wishing not to receive offers from us may notify us at any time via one of the contact methods listed in the Contact Us section on the StreetSmart App.

We reserve the right to suspend or terminate your Account at any time, including if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading or to reclaim any username that you create through the StreetSmart App that violates these Terms and Conditions.

You can delete your Account at any time by going to the “My Account” section and select “Delete Account”. You agree that you will remain liable for all obligations related to your Account even after your Account is closed or restricted.

SERVICE CHANGES

StreetSmart App is a constantly evolving app, and we work hard to make sure the experience is as relevant and intuitive as possible for our Users. With new features launching all the time, we need flexibility to make changes, impose limits and occasionally suspend or terminate certain functionality at any time. We aim to update our Users on any major Service changes, but in general, we will only exercise this power with good reason, as outlined in these Terms and Conditions, and our Privacy Policy. 

CONTENT

Any User Content on the StreetSmart App are those of the respective author(s) and not of CTS. CTS does not guarantee the accuracy, completeness, usefulness, or merchantability of any User Content. Under no circumstances will CTS be liable for any loss or damage caused by reliance on any User Content on the StreetSmart App.

All Content posted on the StreetSmart App, such as blog posts or ratings, is provided for informational purposes only, with no assurance that such Content is true, correct, or accurate.

Users agree and acknowledge that CTS has the right to, in its sole discretion, view and monitor any User Content, and to determine whether or not any User Content is appropriate and complies with these Terms and Conditions, or refuse or remove any User Content that, in CTS’s reasonable opinion, violates any policy of the StreetSmart App or is in any way harmful, inappropriate, or objectionable. You further agree that CTS has the right to make formatting, edits and other changes to the User Content or the manner any User Content is displayed on the StreetSmart App.

Except for CTS Content, CTS does not claim ownership of any Content or link on the StreetSmart App. You retain all ownership of, control of, and responsibility for the User Content you post. By posting any Content including without limitation photos, videos, recordings, company logos, comments, ratings, and reviews via the StreetSmart App, you however expressly grant CTS and CTS’s successors a worldwide, sub-licensable, fully paid and royalty-free, and non-exclusive license to use, publish, reproduce, display, modify, adapt, and distribute such Content in connection with CTS’s business and marketing purposes.

‍STREETSMART APP GUIDELINES

As a User of the StreetSmart App:

‍‍You agree not to stream or publish Content that is:

discriminatory, obscene, pornographic, overtly sexual, defamatory;

liable to incite racial hatred, in breach of confidentiality or privacy;

explicit graphic content such as child abuse, animal abuse, self-abuse or bodily harm to others;

aimed to encourage dangerous, violent, or illegal activities;

may cause annoyance or inconvenience to others;

considered spam, malware, spoofing or phishing or that may result in a User not being able to log into their account or have their account locked or compromised;

encourages or constitutes conduct that would be deemed a criminal offense;

gives rise to a civil liability or otherwise is contrary to the law in any applicable jurisdiction where our Services are being used or

harmful in nature including, and without limitation, computer viruses, Trojan horses, corrupted data, or other potentially harmful software or data.

You agree not to publish or forward a User’s private and confidential information without the User’s explicit permission or consent, this includes, but is not limited to:

cell number, home phone number, non-public phone numbers;

credit and debit card information or any information relating to a person’s credit details;

social security, passport, driving license or other national identity numbers;

private addresses of individuals, family members or places deemed private; or

private or intimate videos, including photos considered private.

We will fully cooperate with any law enforcement authorities or court order requiring us to disclose the identity or other details or any person in breach of this section 6.

INTELLECTUAL PROPERTY RIGHTS

It is understood and agreed by the User that CTS shall retain at all times all rights, title, and interests in the StreetSmart App, technology, and intellectual property, including, without limitation, trademarks, copyrights, trade secrets, domain, patents and other intellectual property rights with respect to any technology, software, system, ideas, trade secrets, market strategy, and records, photographs, advertisements, written/printed material, music, lyrics, or any other work or thing owned, provided, or created by CTS for use by the StreetSmart App pursuant to these Terms and Conditions. CTS’s retention of such rights, title and interest in the StreetSmart App, technology, and intellectual property shall survive the termination of these Terms and Conditions.

COPYRIGHT POLICY

‍You may not share, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.

If you believe that your work has been copied and posted on the StreetSmart App in a way that constitutes copyright infringement, please provide CTS with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the StreetSmart App; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. 

We reserve the right to remove Content that infringes copyright without prior notification and at our sole discretion.

‍‍LINKS TO THIRD PARTY WEBSITES

The StreetSmart App may provide links to third-party websites. When you access such third-party websites, you shall do so at your own risk. These third – party websites or resources are not controlled by us, and you agree that we shall not be responsible or liable for, including but not limited to, the content, functions, accuracy, legality, appropriateness, or any other aspect of such websites or resources. The inclusion of any such link on the StreetSmart App shall not imply our endorsement or any association in any way between their operators and us. You also agree that we will not be responsible or liable in any case, either directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party website or resource. You are advised to read the terms and conditions of such third-party websites as their terms and conditions shall be applicable to you.

NON-DISPARAGEMENT

The User agrees and covenants that they shall not at any time make, publish, or communicate to any person or entity or in any public forum any defamatory or disparaging remarks, comments or statements concerning CTS, the StreetSmart App, the Services, or its businesses, or any of its employees, officers, and existing and prospective customers, suppliers, investors and other associated third parties.

GEOGRAPHIC RESTRICTIONS

The owner of the StreetSmart App is based in the Commonwealth of the Bahamas. We make no claims that the StreetSmart App or any of its Services, or Content is accessible or appropriate outside the Commonwealth of the Bahamas. Access to the StreetSmart App may not be legal by certain persons or in certain countries. If you access the StreetSmart App from outside the Commonwealth of the Bahamas, you do so on your own initiative and are responsible for compliance with local laws.

DISCLAIMER 

THE INFORMATION PROVIDED ON THE STREETSMART APP IS INTENDED, SOLELY TO PROVIDE GENERAL INFORMATION FOR THE PERSONAL USE OF THE USER, WHO ACCEPTS FULL RESPONSIBILITY FOR ITS USE. CTS DOES NOT REPRESENT OR ENDORSE THE ACCURACY OR RELIABILITY OF ANY INFORMATION, OR ADVERTISEMENTS CONTAINED ON, DISTRIBUTED THROUGH, OR LINKED, DOWNLOADED, OR SUGGESTED, OR ACCESSED FROM THE STREETSMART APP OR OTHERWISE, THE QUALITY OF ANY SERVICE, INFORMATION OR OTHER MATERIALS DISPLAYED, OR OBTAINED BY YOU AS A RESULT OF AN ADVICE, ADVERTISEMENT OR ANY OTHER INFORMATION OR OFFER IN CONNECTION WITH THE STREETSMART APP AND/OR THE SERVICES.

USER UNDERSTANDS AND AGREES THAT NOTHING HEREIN SHALL, TO ANY EXTENT, SUBSTITUTE FOR THE INDEPENDENT INVESTIGATIONS AND THE SOUND TECHNICAL JUDGMENT OF THE USER. IN NO EVENT SHALL CTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER WITH RESPECT TO THE STREETSMART APP, ITS SERVICES, AND/OR THE CONTENT. USER HEREBY WARRANTS THAT ANY RELIANCE UPON ANY CONTENT HEREIN SHALL BE AT THEIR SOLE RISK.

YOU ALONE ASSUME THE SOLE RESPONSIBILITY OF EVALUATING THE MERITS AND RISKS ASSOCIATED WITH THE USE OF ANY INFORMATION OR OTHER CONTENT ON THE STREETSMART APP BEFORE MAKING ANY DECISIONS BASED ON SUCH INFORMATION OR OTHER CONTENT. YOU AGREE NOT TO HOLD CTS, ITS AFFILIATES OR ANY THIRD-PARTY SERVICE PROVIDER LIABLE FOR ANY POSSIBLE CLAIM FOR DAMAGES ARISING FROM ANY DECISION YOU MAKE BASED ON INFORMATION OR OTHER CONTENT MADE AVAILABLE TO YOU THROUGH THE STREETSMART APP.

TO THE GREATEST EXTENT PERMITTED BY LAW, ALL CONTENT ON THE STREETSMART APP AND THIRD-PARTY LINKS ARE PROVIDED ‘AS IS’ OR ‘AS AVAILABLE’ WITHOUT WARRANTY OF ANY KIND. CTS IS NOT RESPONSIBLE FOR THE AVAILABILITY OR CONTENT OF THIRD-PARTY LINKS AVAILABLE ON THE STREETSMART APP. BECAUSE CTS HAS NO CONTROL OVER SUCH THIRD-PARTY SERVICES, YOU ACKNOWLEDGE AND AGREE THAT CTS IS NOT RESPONSIBLE FOR THE AVAILABILITY OF SUCH THIRD-PARTY SERVICES AND THAT CTS DOES NOT ENDORSE AND IS NOT RESPONSIBLE OR LIABLE FOR ANY CONTENT, ACCURACY, QUALITY, ADVERTISING, PRODUCTS OR OTHER MATERIALS ON OR AVAILABLE ON SUCH THIRD-PARTY LINKS. TO THE GREATEST EXTENT PERMITTED BY LAW, YOU FURTHER ACKNOWLEDGE AND AGREE THAT CTS SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH SUCH THIRD-PARTY LINKS. CTS AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE STREETSMART APP AND/OR THE SERVICES AT ANY TIME, INCLUDING CHANGES TO THESE TERMS AND CONDITIONS. CTS DISCLAIMS ANY RESPONSIBILITY FOR THE COMPLETENESS OR ACCURACY OF ANY DIRECTORY OR SEARCH RESULT. CTS AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS AND, TO THE FULLEST EXTENT ALLOWED BY LAW, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE REGARDING THE SUITABILITY OF THE INFORMATION; THE ACCURACY, RELIABILITY, COMPLETENESS OR TIMELINESS OF THE CONTENT, SERVICES, PRODUCTS, TEXT, GRAPHICS, LINKS, OR OTHER ITEMS CONTAINED WITHIN OUR SERVICE, OR THE RESULTS OBTAINED FROM ACCESSING AND USING OUR SERVICE AND/OR THE CONTENT CONTAINED THEREIN. CTS DOES NOT WARRANT THAT THE SERVICES AVAILABLE ON THE STREETSMART APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICE, INCLUDING BULLETIN BOARDS OR THE SERVER THAT MAKES IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE USER ASSUMES THE ENTIRE COST OF ALL NECESSARY MAINTENANCE, REPAIR OR CORRECTION OF THE USER’S MOBILE AND OTHER EQUIPMENT.

INDEMNIFICATION

AS A CONDITION OF USE OF THE STREETSMART APP AND THE SERVICES, YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS CTS AND ITS SUPPLIERS, EACH OF THEIR PARENT AND AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE PARTNERS, SUPPLIERS, LICENSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS, FROM ANY AND ALL CLAIMS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, TRADE DISPARAGEMENT, PRIVACY AND INTELLECTUAL PROPERTY INFRINGEMENT) AND DAMAGES (INCLUDING ATTORNEYS’ FEES AND COURT COSTS) ARISING FROM OR RELATING TO ANY ALLEGATION REGARDING: (A) YOUR USE OF THE STREETSMART APP AND/OR THE SERVICES; (B) CTS’S USE OF ANY CONTENT OR INFORMATION YOU PROVIDE, AS LONG AS OUR USE IS NOT INCONSISTENT WITH THESE TERMS AND CONDITIONS ; (C) INFORMATION OR MATERIAL POSTED OR TRANSMITTED THROUGH YOUR ACCOUNT, EVEN IF NOT POSTED BY YOU; AND, (D) ANY VIOLATION OF THESE TERMS AND CONDITIONS BY YOU. IF YOU ARE DISSATISFIED WITH ANY CTS MATERIAL OR WITH ANY OF CTS TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING the STREETSMART APP AND OUR SERVICE(S).

LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES, AND TO THE GREATEST EXTENT PERMITTED BY LAW, SHALL CTS, OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE STREETSMART APP AND/OR THE SERVICES, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, THE CONTENT OR ANY ERRORS OR OMISSIONS IN THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT CTS IS NOT LIABLE FOR ANY CONDUCT OF ANY USER. NOTHING IN THESE TERMS AND CONDITIONS LIMITS OR EXCLUDES, OR WILL BE DEEMED TO LIMIT OR EXCLUDE, CTS’S LIABILITY FOR FRAUDULENT MISREPRESENTATION CAUSED BY ITS NEGLIGENCE OR LIABILITY THAT MAY NOT OTHERWISE BE LIMITED OR EXCLUDED BY LAW.

GOVERNING LAW

The terms contained in these Terms and Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of the Commonwealth of the Bahamas. Any dispute which may arise between the Parties pertaining to the implementation or interpretation of these Terms and Conditions shall be amicably settled, failing which the courts in the Commonwealth of the Bahamas shall have the exclusive authority to settle the same.

DISPUTE RESOLUTION

All disputes arising out of or in relation to these Terms and Conditions, including any question regarding its existence, validity, or termination, which cannot be amicably resolved by the Parties within thirty (30) days of being brought to their attention, will then be settled by arbitration governed by the provisions of appropriate arbitration laws. 

The venue/seat of arbitration shall be the Commonwealth of the Bahamas, and the language of the arbitration shall be English. A dispute shall be deemed to have arisen when either Party notifies the other Party in writing to that effect. The decision of the arbitrator(s) will be final and binding on all the Parties.

WAIVER

The User hereby, with this reference, waives its right to take legal action against CTS, including, without limitation, its representatives, licensees, marketers, and any other related parties for the breach of any of these Terms and Conditions. Notwithstanding the foregoing, the User shall in no way have deemed to have waived their right to any legal action resulting from any material breach of these Terms and Conditions and/or any obligations mentioned within these Terms and Conditions for which they ought to have a legal remedy under appropriate law.

CTS’s failure to enforce any right or failure to act with respect to any breach by a User under these Terms and Conditions will not waive that right nor waive CTS’s right to act with respect to subsequent or similar breaches.

MODIFICATION

CTS shall have the right, at its discretion, to change, add, remove, or modify the StreetSmart App, the Services, or terms of these Terms and Conditions at any time and without prior notice. If we modify these Terms and Conditions, we will post the modification on the StreetSmart App or provide you with notice of the modification. We will also update the ‘Last Updated Date’ at the top of these Terms and Conditions. By continuing to access or use the StreetSmart App after we have posted a modification on the StreetSmart App or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms and Conditions. If the modified Terms and Conditions are not acceptable to you, your only recourse is to cease using the StreetSmart App and/or Services.

GENERAL

NOTICE: Any notice or other communication provided for herein or given hereunder to a Party hereto shall be in writing and shall be given in person, by overnight courier, or by mail (registered or certified mail, postage prepaid, return receipt requested) or e-mail to CTS’s addresses as mentioned in these Terms and Conditions and to the address of the User as provided to us by the User in writing at the time of registering on the StreetSmart App.

ENTIRE AGREEMENT: These Terms and Conditions, along with all other notices, policies, disclaimers, and other terms as and when updated on the StreetSmart App, shall constitute the entire agreement between the Parties relating to the subject matter contained in these Terms and Conditions and supersede all prior or contemporaneous negotiations, commitments and understanding of the Parties whether oral, written or otherwise. However, in the event of a conflict between such other terms and the Terms and Conditions, these Terms and Conditions will supersede.

FEEDBACK: We are constantly trying to improve the StreetSmart App experience, and we value your ideas and suggestions greatly. If you choose to submit ideas, comments, or feedback to us, you agree that we are free to use them without any restriction or compensation to you.

SUCCESSORS AND ASSIGNS: These Terms and Conditions shall be binding on and inure to the benefit of the Parties hereto and their respective heirs, legal or personal representatives, successors, and assigns.

RELATIONSHIP BETWEEN PARTIES: Parties shall be considered independent of each other and not agents or employees of the other Party. Neither Party shall have authority to make any statements, representations, or commitments of any kind, nor to take any action which shall be binding on the other Party, except as may be expressly provided for herein or authorized in writing.

CONFIDENTIALITY: Any communication between the Parties via internal services on the StreetSmart App is confidential. However, your communication may be recorded to ensure quality of Service. Further, communication between the Parties may be monitored and recorded for marketing and training purposes and to ensure excellent customer service.

ASSIGNMENT: CTS may assign its rights and duties under these Terms and Conditions to any party at any time without notice to you.

SEVERABILITY: Any provision of these Terms and Conditions will be interpreted in such manner as to be effective and valid under applicable law, but if any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable in any respect under any applicable law or rule in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other provision or any other jurisdiction, but these Terms and Conditions will be reformed, construed, and enforced in such jurisdiction as if such invalid, illegal, or unenforceable provisions had never been contained herein.

SURVIVABILITY: All clauses that logically ought to survive the termination of these Terms and Conditions shall survive. 

FORCE MAJEURE: CTS shall not be liable for any failure or delay in performance of these Terms and Conditions, in whole or in part, where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to internet failures, computer, telecommunications or any other equipment failures, electrical power failures, acts of God, severe weather, fire, terrorism, vandalism or civil riots, war, civil disturbance, pandemics, labor activity, or strike, court order or any other cause outside our exclusive and direct control.

HEADINGS: Headings used in these Terms and Conditions are provided for convenience only and shall not be used to construe meaning or intent.

AFFIRMATION OF PARTIES: The User affirms that they have entered into these Terms and Conditions freely, voluntarily, and without reliance on any promises, representations, or other statements not contained in these Terms and Conditions and have read and understood the terms and conditions contained in these Terms and Conditions.

GENDER AND PLURALS: Wherever used herein and required by the context, the singular number shall include the plural, the plural shall include the singular number, and the use of either gender shall include both genders and the words “hereof” and “herein” and “hereafter” shall refer to the entire Terms and Conditions and not to any provision or section.
